CH Energy shareholder Gamco to solicit proxies for board nominees

By Lisa Kerner

Charlotte, N.C., April 2 - CH Energy Group Inc. shareholder Gamco Asset Management Inc. announced it will solicit proxies to elect Clarence A. Davis, Michael I. German and Edward T. Tokar to become directors of the company, each for a three-year term expiring in 2012, according to a schedule 13D/A filed with the Securities and Exchange Commission.

Davis is a director of the Gabelli Global Deal Fund and the Gabelli SRI Fund.

German is the chief executive officer, president and director of Corning Natural Gas Corp.

Tokar is also a director of the Gabelli Global Deal Fund and is a director of the Gabelli Dividend & Income Trust.

Gamco said it filed a preliminary proxy statement with the SEC.

The investor will also recommend that CH Energy shareholders approve an amendment to the company's restated certificate of incorporation to provide for the annual election of directors.

Gamco beneficially owns 1,270,877 shares of the Poughkeepsie, N.Y., electric and natural gas utility.

CH Energy is one of several companies Gamco named in September 2008 that it believes could benefit from new nominations to their boards of directors.
