New Issue: Citi sells $2.75 million contingent 10.9% autocallables on three stocks

Chicago, Oct. 26 – Citigroup Global Markets Holdings Inc. priced $2.75 million of autocallable contingent coupon equity-linked securities due April 26, 2019 linked to the least performing of the common stocks of Charles Schwab Corp., Morgan Stanley and Capital One Financial Corp., according to a 424B2 filing with the Securities and Exchange Commission.

The notes will pay a contingent semiannual coupon at an annual rate of 10.9% if each stock closes at or above its 60% coupon barrier on the valuation date for that period.

The notes will be called at par plus the contingent coupon if each stock closes at or above its initial level on any semiannual valuation date after one year.

The payout at maturity will be par plus the contingent coupon unless any stock finishes below its 60% barrier level, in which case investors will be fully exposed any losses of the worst performing stock.

The notes will be guaranteed by Citigroup Inc.

Citigroup Global Markets Inc. is the underwriter.
