Charles Schwab files automatic shelf registration

Knoxville, Tenn., Dec. 16 - Charles Schwab Corp. filed an automatic shelf registration in an S-3-ASR filing with the Securities and Exchange Commission.

The registration covers debt securities, preferred stock, depositary shares, common stock, purchase contracts, warrants and units, along with guaranteed trust preferred securities offered by Schwab Capital Trust II and Schwab Capital Trust III.

The securities may be structured as convertibles.

Proceeds will be used for general company purposes.

The brokerage, banking and finance corporation is based in San Francisco.
