By Lisa Kerner

Charlotte, N.C., May 4 - Investors led by Welsh, Carson, Anderson & Stowe VIII, LP sold 1.2 million shares of Centennial Communications Corp. stock on April 27 and April 28 for $8.26 per share, according to a schedule 13D/A filed on Monday with the Securities and Exchange Commission.

The investors beneficially own 17,922,000 shares or 16.3% of the Wall, N.J., regional wireless and integrated communications services company.

In April, Centennial said it expected its merger with AT&T Inc. to be completed by mid-year 2009.

As previously reported, Centennial agreed in November to be acquired by AT&T for $8.50 per share in cash in a deal valued at $2.8 billion including debt.
