New Issue: Citigroup sells $2.26 million autocallable contingent coupon securities on two stocks

Knoxville, Tenn., Dec. 20 – Citigroup Global Markets Holdings Inc. priced $2.26 million of autocallable contingent coupon equity-linked securities due Dec. 21, 2017 linked to the common stock of Celgene Corp. and the common stock of Amazon.com, Inc., according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Citigroup Inc.

The notes will pay a contingent quarterly coupon at an annual rate of 10.5% if both stocks close at or above the barrier level, 70% of the initial level, on the valuation date for that quarter.

The notes will be called at par plus the contingent coupon if both stocks close at or above the initial share price on any quarterly valuation date from March 2017 through September 2017.

The payout at maturity will be par plus the contingent coupon unless either stock finishes below the 70% barrier level, in which case investors will receive a number of shares of the worse performing stock equal to the principal divided by the initial share price, or, at the issuer’s option, the cash equivalent.
