TD Synnex holds fixed-income investor calls, plans 10-year notes

Los Angeles, April 8 – TD Synnex Corp. is holding fixed-income investor calls and conducting a presentation on Monday for an offering of 10-year notes, according to a market source.

As previously reported, TD Synnex is offering Securities and Exchange Commission-registered notes that feature a make-whole call until a number of months before maturity, followed by a par call.

The notes will also be putable at 101 upon a change of control.

BofA Securities, Inc., Citigroup Global Markets Inc., Scotia Capital (USA) Inc. and Wells Fargo Securities, LLC are the bookrunners.

Citibank, NA is the trustee for the notes.

Pillsbury Winthrop Shaw Pittman LLP is legal counsel for TD Synnex, while Davis Polk & Wardwell LLP represents the underwriters.

TD Synnex will use the proceeds from the sale of the notes, together with other available funds, to repay on or before maturity its outstanding $700 million of 1.25% senior notes due Aug. 9, 2024 and for general corporate purposes.

TD Synnex is an IT distribution company based in both Clearwater, Fla., and Fremont, Calif. It was previously Synnex Corp. before it merged with Tech Data.
