New Issue: Citi prices $100,000 callable range accrual notes on indexes, SOFR CMS spread notes

Chicago, Oct. 24 – Citigroup Global Markets Holdings Inc. priced $100,000 of callable range accrual securities due March 1, 2032 contingent on the 30-year U.S. Dollar SOFR ICE swap rate, the two-year U.S. Dollar SOFR ICE swap rate and the least performing of the Russell 2000 index and the S&P 500 index, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Citigroup Inc.

Interest will accrue at a rate of 8% for each day that the spread of the 30-year U.S. Dollar SOFR ICE swap rate minus the two-year U.S. Dollar SOFR ICE swap rate is at least zero and each index closes at or above the 65% accrual barrier, payable quarterly.

The notes will be callable at par on any quarterly redemption date after one year.

The payout at maturity will be par unless any index finishes below its 55% barrier level, in which case investors will be fully exposed to the decline of the worst performing index from its initial level.
