Relmada Therapeutics settles $10.7 million private placement of units

Offering sells units of one share and 1.5 warrants at $1.50 per unit

Knoxville, Tenn., June 16 – Relmada Therapeutics, Inc. completed a $10.7 million private placement of units on June 19, according to an 8-K filed Monday with the Securities and Exchange Commission. Laidlaw & Co. (UK) Ltd. was the agent.

The company sold 7,129,725 units of one common share and 1.5 warrants at $1.50 per unit.

The first full warrant is exercisable at $1.50 for 120 days and the second half-share warrant is exercisable at $2.25 for five years.

The company also said it raised about $15 million in another private placement on May 15 through the same agent. The sales were associated with Camp Nine, Inc.’s going-public transaction. Camp Nine went public via a reverse merger in the form of a share exchange on May 20, in which it acquired about 94% of the outstanding shares of Relmada.

The clinical-stage company developing novel therapies for the treatment of chronic pain, formerly known as Camp Nine, Inc., is based in New York.
