New Issue: China Merchants Securities unit sells $500 million 1.295% guaranteed notes due 2024

Buffalo, N.Y., Sept. 16 – CMS International Gemstone Ltd., a wholly owned subsidiary of China Merchants Securities International Co., Ltd., sold $500 million of 1.295% guaranteed notes due 2024 (Baa2), according to a listing notice on Thursday.

The notes will be issued under the company’s $2 billion medium-term note program and guaranteed by the parent company.

China Merchants Securities (HK), Standard Chartered Bank, ICBC International, China International Capital Corp. and CMB Wing Lung Bank Ltd. are the joint global coordinators, joint lead managers and joint bookrunners for the offering.

Also serving as joint bookrunners and joint lead managers are ABC International, Bank of China, Bank of China (Hong Kong), Bank of Communications, Bocom International, China Citic Bank International, China Everbright Bank Hong Kong Branch, China Construction Bank (Asia), China Minsheng Banking Corp., Ltd., Hong Kong Branch, China Securities International, CMB International, CMBC Capital, CNCB Capital, DBS Bank Ltd., Dongxing Securities (Hong Kong), Essence International Securities, GF Securities, Guotai Junan International, Haitong International, HSBC, Huatai International, ICBC (Asia), Industrial Bank Co., Ltd., Hong Kong Branch, Mizuho Securities, Nanyang Commercial Bank, Natixis, OCBC Bank and Shanghai Pudong Development Bank Hong Kong Branch.

The listing for the Regulation S notes is expected on the Hong Kong Exchange effective Sept. 17.

Incorporated in the British Virgin Islands, CMS International Gemstone is a wholly owned subsidiary of CMS International. China Merchants Securities is a trading and brokerage firm based in Shenzhen, China.
