AstraZeneca prepares to sell five-, seven-, 10-year notes

Chicago, Feb. 28 – AstraZeneca Finance LLC is offering three tranches of fixed-rate notes, according to a 424B2 filing with the Securities and Exchange Commission.

The notes will be guaranteed by AstraZeneca plc.

All three notes will be optionally redeemable, first with make-whole premiums and then at par.

BofA Securities, Inc., HSBC Securities (USA) Inc., Mizuho Securities USA LLC and Santander US Capital Markets LLC are listed as joint bookrunners.

Bank of New York Mellon will serve as the trustee.

Freshfields Bruckhaus Deringer US LLP is advising the issuer for legal matters. Counsel to the underwriters is provided by Simpson Thacher & Bartlett LLP.

Proceeds will be used for general corporate purposes, including refinancing existing debt, which may include outstanding debt under bank facilities provided by the underwriters.

Listing will be on the Nasdaq Stock Market.

The pharmaceutical company is based in Cambridge, U.K.
