Helios Towers extends early deadline of tender offer for 2025 notes

Los Angeles, Sept. 28 – HTA Group, Ltd., an indirect wholly owned subsidiary of Helios Towers plc, has extended the early tender time with respect to its Sept. 14 cash tender offer for up to $400 million principal amount of its $975 million outstanding 7% senior notes due 2025 (ISINs: XS2189784957, US40435WAB63), according to a Thursday press release.

The early tender time is now 5 p.m. ET on Oct. 13, extended from 5 p.m. ET on Sept. 27. The early tender time now coincides with the expiration of the offer.

The issuer is offering $970 per $1,000 note, inclusive of a $30 early tender payment that will be only made to noteholders who tender by the early deadline. The company will also pay accrued interest to the settlement date, which is planned for Oct. 17.

Tenders may be subject to proration.

Tenders may no longer be withdrawn as of the original early tender time.

Funding for the tender offer is coming from a credit facility with Standard Bank of South Africa Ltd. as security agent and facility agent. The credit facility includes a $120 million revolver and a $600 million five-year term loan. Proceeds from the credit facility will also be used for general corporate purposes.
