LyondellBasell unit to offer guaranteed notes via eight bookrunners

Lexington, Ky., Feb. 26 – LYB International Finance III, LLC plans to price one tranche of notes guaranteed by LyondellBasell Industries NV, according to a 424B3 filing with the Securities and Exchange Commission.

The notes will feature a make-whole call option and then a par call option.

In addition, the notes will be callable at par for taxation reasons and putable at 101 after a change-of-control triggering event.

Citigroup Global Markets Inc. and Mizuho Securities USA LLC are the lead joint bookrunners. Barclays, BofA Securities, Inc., Deutsche Bank Securities Inc., J.P. Morgan Securities LLC, MUFG Securities Americas Inc. and Wells Fargo Securities, LLC are also listed as bookrunners.

Bank of New York Mellon Trust Co., NA is the trustee.

Gibson, Dunn & Crutcher LLP will advise the issuer as to U.S. law and De Brauw Blackstone Westbroek NV will act as counsel regarding Dutch law. Davis Polk & Wardwell LLP will act as counsel to the underwriters.

Proceeds will be used for general corporate purposes, which may include the repayment of the 5.75% senior notes due 2024 issued by LyondellBasell.
