Advisor Group to start roadshow on Monday for $400 million eight-year senior notes

Portland, Ore., July 19 – Advisor Group Inc. plans to start a roadshow on Monday in New York for a $400 million offering of eight-year senior notes (Caa1/B-), according to a syndicate source.

The roadshow travels to Boston on Tuesday and to Los Angeles on Wednesday.

The Rule 144A and Regulation S deal will also be shopped by means of investor calls.

Goldman Sachs & Co. LLC is the left bookrunner. UBS Investment Bank, Barclays, BofA Securities Inc., Credit Suisse Securities (USA) LLC, Deutsche Bank Securities Inc., RBC Capital Markets LLC and SunTrust Robinson Humphrey Inc. are the joint bookrunners.

The notes become callable after three years at par plus 50% of the coupon.

Proceeds from the notes will be used to fund the acquisition of a 75% stake in the Phoenix-based wealth management platform by Reverence Capital Partners and for general corporate purposes.

The issuing entity will be AG Merger Sub II, Inc.
