New Issue: GS prices $1.93 million autocallable contingent coupon equity notes on two stocks

Chicago, Aug. 5 – GS Finance Corp. priced $1.93 million of autocallable contingent coupon equity-linked securities due July 23, 2024 linked to the common stocks of salesforce.com, inc. and DocuSign, Inc., according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Goldman Sachs Group, Inc.

The notes will pay a contingent quarterly coupon at a yearly rate of 9.3% if each stock closes above the coupon barrier price, 55% of its initial price, on the observation date for that quarter.

The notes will be automatically called at par plus the contingent coupon if each stock closes at or above its initial share price on any quarterly call observation date after six months.

If the notes are not called and the final share price of each stock is greater than or equal its trigger price, 55% of its initial level, the payout at maturity will be par. Otherwise, investors will be fully exposed to the decline in the share price of the least performing stock.
