Hunt Oil of Peru starts tender offer for any and all 6 3/8% notes

Columbus, Ohio, Sept. 5 – Hunt Oil Co. of Peru LLC, Sucursal del Peru began a cash tender offer to purchase any and all of its $499.2 million outstanding 6 3/8% trust enhanced senior notes due 2028 (Cusips: 445640AB1, P5300PAB), according to a notice.

The company is offering a consideration of $977.50 per $1,000 original principal amount multiplied by a scaling factor of 83.2% resulting from the notes having been partially amortized. The notes were issued in a $600 million original principal amount.

The company will also pay accrued interest to but excluding the settlement date.

The offer expires at 8 a.m. ET on Sept. 12. Tenders may be withdrawn up to the expiration time. Settlement is expected on Sept. 19.

Consummation of the offer is subject to conditions, including closing of a concurrent offering by the company of new notes.

The offer is not subject to a minimum tender condition.
