China’s Health and Happiness calls off offering of new notes

Columbus, Ohio, Sept. 20 – Health and Happiness (H&H) International Holdings Ltd. has decided not to proceed with an offering of new notes, according to a notice.

Plans for the new money issuance, concurrent with an exchange offer for the company’s existing notes due 2021, were announced on Sept. 10. Any new money notes issued were to form a single series with the exchange notes. The exchange was also terminated.

The company expected to issue at least $400 million of the new notes under the exchange offer and/or the new money issuance.

Goldman Sachs (Asia) LLC was the sole lead manager and sole bookrunner.

Based in based in Guangzhou, the company provides pediatric nutritional and baby care products in China.
