21st Century to price IPO of 13,333,333 shares between $14.00, $16.00

Morgan Stanley, JPMorgan and Wells Fargo are the joint bookrunners

Knoxville, Tenn., May 16 - 21st Century Oncology Holdings, Inc. will sell 13,333,333 common shares in its initial public offering with a 30-day greenshoe of 2 million additional shares, according to a Form S-1/A filed Friday with the Securities and Exchange Commission. The deal was announced Feb. 11.

The shares will be sold at a price expected to fall between $14.00 and $16.00 per share.

Morgan Stanley & Co. LLC, J.P. Morgan Securities LLC and Wells Fargo Securities, LLC are the joint bookrunning managers. SunTrust Robinson Humphrey Inc., KeyBanc Capital Markets Inc., Avondale Partners, LLC and Piper Jaffray & Co. are the co-managers.

The company also plans to offer 1.5 million series A mandatory convertible junior non-voting preferred shares in a concurrent public offering with a 30-day option to purchase an additional 225,000 preferreds.

Proceeds will be used to repay debt and for general corporate purposes.

The Fort Meyers, Fla., company offers cancer treatment services.
