New Issue: Black Hat Capital to raise C$2 million from placements of shares

Des Moines, March 23 - Black Hat Capital Inc. arranged two private placements of shares for a total of C$2 million.

One placement will include 4 million shares at C$0.30 each for proceeds of C$1.2 million. The other will include 2,666,667 million shares at the same price for proceeds of C$800,000.

About 31% of the C$1.2 million placement will be non-brokered, and Linear Capital Corp. will act as agent for the remaining portion of that deal.

The C$1.2 million offering will be completed in connection with Black Hat's qualifying transaction. Settlement of both is expected on March 28.

Calgary, Alta.-based Black Hat is a capital pool company. It is acquiring mineral exploration properties in Zacatecas, Mexico.

Proceeds of the placement will be used for a work program on the properties.

The C$800,000 placement will be completed at the same time. Of that deal, about 16% will be non-brokered and Fraser Mackenzie Ltd. will act as agent for the remainder.

Proceeds of that offering will be used for working capital and to investigate future acquisitions.
