New Issue: Goldman prices $626,000 autocallable contingent coupon equity notes on three stocks

Chicago, April 22 – GS Finance Corp. priced $626,000 of autocallable contingent coupon equity-linked notes due Feb. 1, 2027 linked to the stocks of Tesla, Inc., Nvidia Corp. and class A common stock of Meta Platforms, Inc., according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Goldman Sachs Group, Inc.

The notes will pay a contingent monthly coupon at an annual rate of 23.3% if each stock closes above its coupon barrier price, 70% of its initial price, on the corresponding observation date. Previously unpaid coupons will also be paid.

The notes will be automatically called at par plus the coupon if each stock closes at or above its initial share price on any monthly call observation date starting after six months.

At maturity, if all three stocks close above 70% of their initial levels, the payout will be par.

Otherwise, investors will lose 1% loss for each 1% decline from the initial level.
