Vostok New Ventures seeks to amend 2019/2022 bonds to switch domicile

By Rebecca Melvin

New York, April 14 – Vostok New Ventures Ltd. is notifying holders of its bonds 2019/2022 (ISIN SE0013233541) regarding a proposal to change the domicile of the company to Sweden from Bermuda.

The change would be made by way of canceling of Swedish depository receipts in Vostok New Ventures Bermuda in exchange for shares in a Swedish group entity that will be the company’s new parent.

The change requires certain amendments and waivers in relation to the bonds’ terms and underlying agreements, the company said in a news release, noting that it has already approached bondholders representing about 32% of the adjusted nominal amount of the bonds and received indications of approval for the change.

The investment company is based in Stockholm.
