Andes 7 plans public stock offering, hires Tech Associates to advise

Company experiences change of control

Tacoma, Wash., Feb. 16 – Andes 7, Inc. said it plans to go public and has hired Tech Associates, Inc. to provide advisory and consulting services.

Tech’s sole shareholder is Richard Chiang, who is a former control person of the company by virtue of his prior controlling interest in the company, according to an 8-K filing with the Securities and Exchange Commission.

In consideration of mutual releases between Chiang and the company, Chiang consented to the company’s redemption of 9.9 million shares at par value, i.e. $990, which had previously been issued to him.

In addition, the company agreed to issue 8 million shares of restricted common stock to Abina Asean, Co. Ltd., 1 million shares to Toh Kean Ban and 1 million shares to Ir. H.M. Itoc Tochija.

The effect of the transactions was a change of control of the company.

The blank check company is based in Lewes, Del.
