Worldpay to begin roadshow for €400 million seven-year notes

New York, Oct. 30 – Worldpay Group plc plans to sell €400 million of seven-year senior unsecured bullet notes next week, syndicate sources said Friday.

The deal will be marketed to potential investors via a roadshow that will begin on Monday and run through Friday, with pricing expected thereafter.

The offering will be brought to market via joint global coordinators Barclays Capital Inc., which will handle billing and delivery, Bank of America Merrill Lynch, Credit Agricole CIB and Credit Suisse, along with joint bookrunners BOC, Goldman Sachs & Co., Lloyds Securities Inc., Medio, Mizuho Securities, RBC Capital Markets Corp., RBS Securities Inc., UBS Securities LLC and UniCredit.

The notes, which will be non-callable for life other than via a make-whole call at Bunds plus 50 basis points, will be offered under Rule 144A and Regulation S. They will rank pari passu with the company’s bank facilities.

The notes will be issued by a subsidiary, Worldpay Finance plc.

Worldpay, a London-based international payments processing company, plans to use the proceeds of the note offering, together with cash on hand, to fund the partial prepayment of the £600 million bullet term facility provided under a senior facilities agreement that the company entered into on Sept. 4, as well as to pay costs, fees and expenses incurred in connection with the offering and the partial prepayment of the term facility.
