Bear Stearns to price 0% accelerated market participation notes linked to Nikkei 225

Seattle, May 3 - The Bear Stearns Cos. Inc. plans to price an offering of 0% accelerated market participation securities due November 2008 linked to the Nikkei 225 index, according to an FWP filing with the Securities and Exchange Commission.

The notes will price and settle in May.

The payout at maturity will be par plus triple any index gain, subject to a maximum return of 30%. Investors will be fully exposed to any index decline.

Bear, Stearns & Co. Inc. will be the agent.
