AerCap Ireland, AerCap Global intend to sell senior notes

Lexington, Ky., May 30 – AerCap Ireland Capital DAC and AerCap Global Aviation Trust will sell senior notes, according to a 424B3 filing with the Securities and Exchange Commission.

The notes initially have a make-whole call option until some months prior to maturity and are then redeemable at par.

The notes are also redeemable at par due to a change in tax laws, or at 101 due to a change-of-control triggering event.

The bookrunners are Barclays, Credit Agricole Securities (USA) Inc., Deutsche Bank Securities Inc., RBC Capital Markets, LLC and Wells Fargo Securities, LLC.

Bank of New York Mellon NA will be the trustee.

Working as legal counsel for the issuers are Cravath, Swaine & Moore LLP (New York and U.S. law), McCann FitzGerald LLP (Irish law), NautaDutilh NV (Dutch law), Morris, Nichols, Arsht & Tunnell LLP (Delaware law) and Smith, Gambrell & Russell, LLP (California law). Simpson Thacher & Bartlett LLP will act as legal counsel for the bookrunners.

The notes are guaranteed by AerCap Holdings NV, AerCap Aviation Solutions BV, AerCap Ireland Ltd., International Lease Finance Corp. and AerCap U.S. Global Aviation LLC.

Proceeds will be used for general corporate purposes, including to acquire, finance or refinance aircraft assets and to repay debt.

AerCap is an independent aircraft leasing company based in Amsterdam.
