Loxo plans to price IPO of 4,384,615 shares between $12.00 and $14.00

Cowen, Stifel, Oppenheimer and JMP Securities to assist with offering

Knoxville, Tenn., July 21 – Loxo Oncology, Inc. will sell 4,384,615 common shares in its initial public offering with a 30-day greenshoe option of 657,692 additional shares, according to a Form S-1/A filed Monday with the Securities and Exchange Commission. The deal was announced June 30.

The shares will be sold at a price expected to fall between $12.00 and $14.00 per share.

Cowen and Co. and Stifel are the joint bookrunning managers. Oppenheimer & Co. and JMP Securities are the co-managers.

Investment funds affiliated with Deerfield Management Co., LP have indicated an interest in investing about $14.5 million, and an affiliate of New Enterprise Associates 14, LP has indicated an interest in investing about $3 million. In addition, some of the company’s principal stockholders and their affiliated entities have indicated an interest in purchasing up to $9 million of the shares.

Proceeds will be used for clinical trials, research and development, working capital and general corporate purposes.

The Stamford, Conn., company develops targeted small-molecule therapeutics for the treatment of cancer in genetically defined patient populations. The company intends to list its common stock on the Nasdaq under the symbol “LOXO.”
