By Paul A. Harris

St. Louis, April 7 - Ziff Davis Holdings Inc. will start a roadshow early next week for a $205 million offering of seven-year senior secured floating-rate notes, according to Bart W. Catalane, president and chief operating officer of the company.

Bear Stearns & Co. will run the books for the Rule 144A/Regulation S offering.

Proceeds will be used to retire all outstanding debt under the company's amended and restated credit agreement dated Aug. 12, 2002 and for general corporate purposes.

Ziff Davis Holdings is the ultimate parent of New York City-based Ziff Davis Media Inc., an integrated media company focusing on the technology and video game markets.
