Windswept Environmental gets extension on registration deadline linked to 2005 PIPE

By Sheri Kasprzak

New York, July 25 - Windswept Environmental Group, Inc. received an extension on the deadline before which the registration statement for $7.35 million in notes issued in June 2005 must be declared effective by the Securities and Exchange Commission.

Noteholder Laurus Master Fund, Ltd. agreed to waive fees related to the lateness of the registration statement filing, but Windswept must have the registration statement declared effective by Aug. 25.

The original deadline was July 21. The deadline was moved twice before, to June 30 from June 15 and then to July 21 from June 30.

The notes, which are due June 30, 2008, were first issued on June 30, 2005.

Windswept, based in Bay Shore, N.Y., operates disaster restoration and mold and commercial drying services.
