Intel wraps purchase of Wind River after another stock-buying round

Chicago, July 17 - Intel Corp. said it acquired Wind River Systems Inc. after the end of the subsequent offering to purchase shares at midnight ET on July 15.

"The acquisition will deliver to Intel robust software capabilities in embedded systems and mobile devices, both important growth areas for the company," Renee James, Intel vice president and general manager of the company's software and services group, said in a press release.

"This multibillion-dollar market segment is increasingly becoming connected and more intelligent, requiring supporting applications and services as well as full internet functionality."

Intel said on July 10 that it began a subsequent offering period to purchase the remaining outstanding shares of Wind River for $11.50 per share.

Intel said a total of about 69 million shares of Wind River common stock, or about 89% of the company's outstanding shares, were validly tendered and not withdrawn in the initial offer that ended on July 9.

The total number of shares tendered included about 6.4 million shares subject to guaranteed delivery procedures.

Intel said that once the subsequent offer was completed, it intended to acquire Wind River through a short-form merger.

As previously reported, Intel agreed to acquire Wind River for $11.50 per share in a deal valued at about $884 million.

Intel is a semiconductor chipmaker based in Santa Clara, Calif.

Wind River, based in Alameda, Calif., develops, markets and sells operating systems, middleware and software development tools to develop, run and manage device products.
