3.38 million shares sold at $0.25, $0.40 per share in four tranches

Knoxville, Tenn., Dec. 24 - Windaus Global Energy, Inc. completed a $1.22 million private placement of stock, according to an 8-K filed Tuesday with the Securities and Exchange Commission. It raised $130,000 on Oct. 7, $65,000 on Oct. 17, $25,000 on Oct. 22 and $1 million on Nov. 25.
The company sold 3.38 million common shares.
It sold 520,000 shares at $0.25 per share in the first tranche, 260,000 shares at $0.25 apiece in the second tranche, 100,000 shares at $0.25 per share in the third tranche and 2.5 million shares at $0.40 each in the fourth tranche.
The prices per share are 61.54% and 38.46% discounts to the Dec. 23 closing share price of $0.65.
Investors also received warrants for 880,000 shares.
The first-tranche investors received warrants for 520,000 shares, the second-tranche investors received warrants for 260,000 shares, the third-tranche investors received warrants for 100,000 shares, which are each exercisable at $0.50. The fourth-tranche investors did not receive warrants.
The strike price is a 23.08% discount to the Dec. 23 closing share price.
The North Vernon, Ind., company generates and distributes wind energy.
