Williams Scotsman to start roadshow Thursday for $325 million 10-year notes

St. Louis, Sept. 6 - Williams Scotsman Inc will begin a roadshow on Thursday for its $325 million offering of 10-year senior notes (B3), according to a syndicate source.

Investor calls will be held on Sept. 13 and Sept. 14. The roadshow wraps up on Sept. 20, with pricing expected thereafter.

Deutsche Bank Securities, Banc of America Securities LLC, Citigroup, Lehman Brothers and CIBC World Markets are joint bookrunners for the Rule 144A with registration rights offering.

The notes are being sold concurrently with an initial public offering of stock. The company is also obtaining a $650 million asset-backed credit facility.

Proceeds will be used to fund the tender for the company's 9 7/8% senior notes due 2007 and its 10% senior secured notes due 2008.

The company is a Baltimore, Md., provider of modular space solutions for the construction, education, commercial and industrial, and government markets.
