WillScot to repay ABL facilities, senior notes via new notes

Los Angeles, June 1 – WillScot Corp. said it intends to repay all outstanding debt under its existing ABL facility and Mobile Mini Inc.’s existing ABL facility, to repay all of Mobile Mini’s outstanding senior notes and to repay all of Williams Scotsman International, Inc.’s senior secured notes due 2022 using proceeds from an offering of new notes.

WillScot announced plans on Monday to offer up to $500 million of senior secured notes due 2025.

The company also plans to use funds from its fully committed $2.4 billion ABL credit facility to fund the paydowns and redemptions.

The refinancing transactions are related to WillScot’s pending merger with Mobile Mini, according to a press release.

WillScot is a Baltimore-based mobile office, portable classroom and storage container company.

Mobile Mini is a portable storage company based in Phoenix.
