Williams offers senior notes due 2032, 2052 via four bookrunners

Lexington, Ky., Aug. 3 – Williams Cos. Inc. is planning an offering of senior notes due 2032 and 2052 (//BBB), according to a 424B5 filing with the Securities and Exchange Commission.

The notes will have a make-whole call and a par call.

The bookrunners are BofA Securities, Inc., Citigroup Global Markets Inc., PNC Capital Markets LLC and Scotia Capital (USA) Inc.

Bank of New York Mellon Trust Co., NA is the trustee.

Gibson, Dunn & Crutcher LLP will act as the company’s counsel.

Weil, Gotshal and Manges LLP is the counsel for the underwriters.

Proceeds will be used for general corporate purposes, which may include the repayment of outstanding commercial paper and near-term debt maturities.

Tulsa, Okla.-based Williams finds, produces, gathers, processes and transports natural gas.
