Waste Connections intends to offer senior notes due 2029

Chicago, April 9 – Waste Connections, Inc. plans to price dollar-denominated senior notes (Baa2/BBB+/BBB+) due 2029, according to a news release and a 424B5 filing with the Securities and Exchange Commission.

The notes have make-whole and par calls and a 101% change-of-control put.

BofA Merrill Lynch, J.P. Morgan Securities LLC, MUFG and Wells Fargo Securities LLC are the bookrunners. CIBC World Markets Corp. and PNC Capital Markets LLC are also underwriters.

Proceeds will be used to repay debt under the company’s credit agreement and for general corporate purposes.

Waste Connections is a solid waste services company with headquarters in The Woodlands, Tex., and Vaughan, Ont., that services markets in the United States and Canada.
