New Issue: Citigroup prices $4.29 million contingent coupon autocallables on Amazon.com, Disney

Columbus, Ohio, Dec. 9 – Citigroup Global Markets Holdings Inc. priced $4.29 million of autocallable contingent coupon equity-linked securities due Nov. 29, 2023 linked to the least performing of the stocks of Amazon.com, Inc. and Walt Disney Co., according to a 424B2 filing with the Securities and Exchange Commission.

Each quarter, the notes pay a contingent coupon at the annual rate of 8.5% per year if the least-performing stock closes at or above its coupon barrier value, 68% of its initial share price, on the valuation date for that period.

The notes will be automatically called at par if the least-performing stock closes at or above its initial price on any quarterly call valuation date.

The payout at maturity will be par unless the least-performing stock finishes below its final barrier value, 68% of its initial share price, in which case investors will receive a number of shares of the worst performing stock equal to $5,000 divided by that stock’s initial share price.

The notes are guaranteed by Citigroup Inc.
