Waldron Energy to raise C$10 million via private placement of stock

Deal funds drilling, exploration; National Bank Financial is the agent

Knoxville, Tenn., May 25 - Waldron Energy Corp. said it will conduct a C$10 million private placement of stock via a syndicate of underwriters led by National Bank Financial Inc.

The company will sell 2,532,000 flow-through common shares at C$3.95 per share on a bought-deal basis. The price per share reflects a 19.7% premium to the May 24 closing share price of C$3.30.

Settlement is expected June 15.

Proceeds will be used for exploration and drilling.

The junior oil and gas company is based in Calgary, Alta.
