Viking Cruises receives consents to amend 6¼% notes, 5 7/8% notes
New York, Feb. 2 – Viking Cruises Ltd. said it received the requested consents in its solicitations for its $250 million of 6¼% senior notes due 2025 and its $550 million of 5 7/8% senior notes due 2027.
On Thursday Viking executed a supplemental indenture but the amendments will only become effective when the consent fee is paid, according to a news release.
Viking announced the solicitation on Jan. 24.
It said the proposed amendments to the 2025 indenture would substantially conform certain covenants, definitions and other terms with those of the 2027 indenture.
The proposed amendment to the 2027 indenture would allow Viking to give cumulative effect to certain changes in accounting principles for the purposes of some calculations.
The consent fee per $1,000 principal amount will be $2.50 for the 2025 notes and $1.25 for the 2027 notes.
Each consent solicitation expired at 5 p.m. ET on Jan. 31.
For passage, consents had to be received from holders of at least a majority of notes from the relevant series. Consummation of each consent solicitation is not conditioned on consummation of the other.
Consent fees are subject to the satisfaction or waiver of all conditions to the applicable consent solicitation.
