ViaSat begins tender offer for 6 7/8% notes; purchase price is 101.9

Tacoma, Wash., Sept. 5 – ViaSat, Inc. began a tender offer for any and all of its $575 million 6 7/8% senior notes due 2020, according to a company news release.

The offer will end at 5 p.m. ET on Sept. 20.

The price on offer is $1,019.00 per $1,000 principal amount of notes plus accrued interest up to but excluding the settlement date, which is expected to be Sept. 21.

The company also issued a conditional notice of redemption to the noteholders. It plans to redeem any and all notes that remain outstanding after the tender offer.

The tender offer is subject to the satisfaction or waiver of some conditions, including the condition that ViaSat will have received enough proceeds from one or more debt financings to repurchase all of the notes tendered in the offer.
