PerkinElmer completes offer for ViaCell

Charlotte, N.C., Nov. 9 - PerkinElmer, Inc. said 37.9 million shares, or more than 90%, of ViaCell, Inc.'s common stock were tendered in its offer ended Nov. 8.

The $7.25-per-share cash tender offer began Oct. 12.

PerkinElmer intends to "promptly acquire" all of the remaining ViaCell shares in a short-form merger at the same $7.25 price per share, according to a company news release. ViaCell will become an indirect wholly owned subsidiary of PerkinElmer.

PerkinElmer is a Waltham, Mass.-based health sciences and photonics company. ViaCell is a biotechnology company based in Cambridge, Mass.
