Verizon wraps separate cash tender offers for 30 series of notes

Chicago, March 20 – Verizon Communications Inc. announced the results of its 30 separate cash tender offers that ran until 5 p.m. ET on March 17.

Verizon accepted for purchase all of the tendered notes, as follows, with pricing for each $1,000 principal amount and the notes listed in order of priority acceptance levels from 1 to 30:

• $130,429,000 of Verizon Communications’ $242,419,000 8.95% notes due 2039 using the 2.875% Treasury notes due Nov. 15, 2046 plus 180 basis points for a total purchase price of $1,537.18 and total payment of $201,108,946.07;

• $38,501,000 of Verizon New York Inc.’s $243,526,000 7.375% debentures due 2032 based on 2.25% Treasury notes due Feb. 15, 2027 plus 220 bps for a total purchase price of $1,285.50 and total payment of $50,825,999.02;

• $36,551,000 of Verizon Communications’ $215,316,000 7.75% notes due 2032 based on 2.25% Treasury notes due Feb. 15, 2027 plus 210 bps for a total purchase price of $1,341.68 and total payment of $49,787,264.39;

• $847,162,000 of Verizon Communications’ $2,266,003,000 6.55% notes due 2043 based on 2.875% Treasury notes due Nov. 15, 2046 plus 180 bps for a total purchase price of $1,239.85 and total payment of $1,051,124,487.55;

• $612,031,000 of Verizon Communications’ $1,082,691,000 6.4% notes due 2033 based on 2.875% Treasury notes due Nov. 15, 2046 plus 140 bps for a total purchase price of $1,216.85 and total payment of $745,293,949.84;

• $17,106,000 of Verizon Pennsylvania LLC’s $53,232,000 8.75% debentures due 2031 based on 2.25% Treasury notes due Feb. 15, 2027 plus 215 bps for a total purchase price of $1,426.33 and total payment of $24,544,320.72;

• $8.01 million of Verizon Delaware LLC’s $10,391,000 8.625% debentures due 2031 based on 2.25% Treasury notes due Feb. 15, 2027 plus 215 bps for a total purchase price of $1,416.70 and total payment of $11,645,221.69;

• $1,822,000 of Verizon Maryland LLC’s $23,566,000 8.3% debentures due 2031 based on 2.25% Treasury notes due Feb. 15, 2027 plus 215 bps for a total purchase price of $1,378.75 and total payment of $2,532,666.03;

• $15,805,000 of Verizon Pennsylvania’s $47,631,000 8.35% debentures due 2030 based on 2.25% Treasury notes due Feb. 15, 2027 plus 205 bps for a total purchase price of $1,384.37 and total payment of $22,228,226.62;

• $9,403,000 of Verizon Virginia LLC’s $18.62 million 8.375% debentures due 2029 based on 2.25% Treasury notes due Feb. 15, 2027 plus 200 bps for a total purchase price of $1,367.57 and total payment of $13,228,948.80;

• $712,000 of Verizon Maryland’s $28,431,000 8% debentures due 2029 based on 2.25% Treasury notes due Feb. 15, 2027 plus 200 bps for a total purchase price of $1,332.71 and total payment of $973,413.95;

• $26,042,000 of Verizon New England Inc.’s $173,144,000 7.875% debentures due 2029 based on 2.25% Treasury notes due Feb. 15, 2027 plus 200 bps for a total purchase price of $1,322.35 and total payment of $35,148,724.67;

• $27,313,000 of Verizon Communications’ $185,926,000 7.35% notes due 2039 based on 2.875% Treasury notes due Nov. 15, 2046 plus 180 bps for a total purchase price of $1,324.60 and total payment of $37,121,212.12;

• $49,565,000 of Verizon Communications’ $269,719,000 6.9% notes due 2038 based on 2.875% Treasury notes due Nov. 15, 2046 plus 170 bps for a total purchase price of $1,273.29 and total payment of $64,583,112.37;

• $159,635,000 of Verizon Communications’ $742,491,000 7.75% notes due 2030 based on 2.25% Treasury notes due Feb. 15, 2027 plus 160 bps for a total purchase price of $1,379.04 and total payment of $223,888,930.03;

• $238,000 of Verizon Virginia’s $56,648,000 7.875% debentures due 2022 based on 1.875% Treasury notes due Feb. 28, 2022 plus 120 bps for a total purchase price of $1,206.35 and total payment of $290,495.36;

• $13,747,000 of GTE LLC’s $206,824,000 8.75% debentures due 2021 based on 1.875% Treasury notes due Feb. 28, 2022 plus 110 bps for a total purchase price of $1,240.28 and total payment of $17,514,567.71;

• $25,038,000 of Verizon New Jersey’s $146,292,000 8% debentures due 2022 based on 1.875% Treasury notes due Feb. 28, 2022 plus 120 bps for a total purchase price of $1,227.16 and total payment of $31,332,108.07;

• $14,682,000 of Verizon Maryland’s $179,209,000 5.125% debentures due 2033 based on 2.875% Treasury notes due Nov. 15, 2046 plus 145 bps for a total purchase price of $1,063.06 and total payment of $15,806,410.80;

• $117,991,000 of Verizon Communications’ $515,425,000 6.4% notes due 2038 based on 2.875% Treasury notes due Nov. 15, 2046 plus 170 bps for a total purchase price of $1,206.61 and total payment of $143,103,286.70;

• $85,402,000 of GTE’s $413,217,000 6.94% debentures due 2028 based on 2.25% Treasury notes due Feb. 15, 2027 plus 140 bps for a total purchase price of $1,270.73 and total payment of $111,074,742.71;

• $103,568,000 of Verizon Communications’ $442,796,000 6.25% notes due 2037 based on 2.875% Treasury notes due Nov. 15, 2046 plus 165 bps for a total purchase price of $1,189.56 and total payment of $126,239,064;

• $250,401,000 of Verizon Communications’ $799,622,000 5.85% notes due 2035 based on 2.875% Treasury notes due Nov. 15, 2046 plus 150 bps for a total purchase price of $1,151.79 and total payment of $288,612,818.76;

• $208,782,000 of Verizon Communications’ $500,204,000 6% notes due 2041 based on 2.875% Treasury notes due Nov. 15, 2046 plus 180 bps for a total purchase price of $1,151.23 and total payment of $246,236,794.87;

• $38,034,000 of GTE’s $332,155,000 6.84% debentures due 2018 based on 0.75% Treasury notes due April 15, 2018 plus 40 bps for a total purchase price of $1,056.27 and total payment of $41,294,274.48;

• $152,493,000 of Verizon Communications’ $666,524,000 6.1% notes due 2018 based on 0.75% Treasury notes due April 15, 2018 plus 40 bps for a total purchase price of $1,048.45 and total payment of $163,886,345.33; and

• $113,049,000 of Verizon Communications’ $646,017,000 5.5% notes due 2018 based on 1% Treasury notes due Feb. 15, 2018 plus 30 bps for a total purchase price of $1,037.01 and total payment of $117,837,441.55.

Pricing was set using a fixed spread over the bid-side price of the reference U.S. Treasury security at 11 a.m. ET on March 17.

Holders also will receive accrued interest to but excluding the settlement date, which is expected to be March 20. For notes tendered under guaranteed delivery procedures, the settlement date will be March 22.

The tender offers are contingent on Verizon obtaining financing with closing of a contemporaneous offering of notes with maturities occurring after Jan. 1, 2037, according to a previous company announcement.

Verizon priced $11 billion of new notes in five tranches on March 13.
