Banco de Bogota gives early results of tender offer for 4 3/8% notes

Concord, N.H., April 5 – Banco de Bogota SA announced the early tender results of its March 22 offer to purchase up to $300 million of the outstanding $600 million principal amount of its 4 3/8% senior notes due 2027 (Cusips: 059514AE9, P09252AM2), according to a company announcement.

It also announced that it is extending the total consideration through to the offer’s expiration.

As of 5 p.m. ET on April 4, $119,707,000 aggregate principal amount of the notes, or about 19.95% of the outstanding notes, had been validly tendered and not validly withdrawn.

The company is offering a total consideration $960 per $1,000 principal amount of, which includes the $30 early tender premium.

As previously reported, holders will also receive accrued interest and additional amounts such that the purchase price and accrued interest received after withholding tax will be equal to the amount that would have been due had there been no withholding tax.

The offer will expire at 11:59 p.m. ET on April 19.

Early settlement is on April 6.

If the $300 million maximum amount is exceeded, tenders will be subject to proration.
