TD Bank to price digital buffered notes due 2022 linked to Russell

Olympia, Wash., May 16 – Toronto-Dominion Bank plans to price 0% digital buffered notes due June 2, 2022 linked to the Russell 2000 index, according to a 424B2 filing with the Securities and Exchange Commission.

If the index return is greater than or equal to 85% of its initial value, the payout at maturity will be par plus the digital return of between 18.35% and 19.35%. The exact digital return will be set at pricing.

Otherwise, investors will lose 1% for each 1% decline beyond the 15% buffer.

TD Securities (USA) LLC is the agent.

The notes will price May 31.

The Cusip number is 89114QQ27.
