TD Bank to price digital buffered notes due 2022 tied to S&P 500

Olympia, Wash., Feb. 6 – Toronto-Dominion Bank plans to price 0% digital buffered notes due Feb. 24, 2022 linked to the S&P 500 index, according to a 424B2 filing with the Securities and Exchange Commission.

If the index return is greater than or equal to 85% of its initial value, the payout at maturity will be par plus the digital return of between 17% and 18.1%. The exact digital return will be set at pricing.

Otherwise, investors will lose 1% for each 1% decline beyond the 15% buffer.

TD Securities (USA) LLC is the agent.

The notes will price Feb. 21.

The Cusip number is 89114QB31.
