TD Bank plans leveraged market-linked notes on iShares MSCI EAFE

Chicago, April 16 – Toronto-Dominion Bank plans to price 0% market-linked securities – leveraged upside participation and contingent downside due May 2, 2023 linked to the iShares MSCI EAFE exchange-traded fund, according to a 424B2 filing with the Securities and Exchange Commission.

If the return is positive, the payout at maturity will be par plus 120% to 130% of the gain.

Investors will receive par if the fund falls by up to 30% and will be fully exposed to any losses if the fund finishes below its 70% threshold.

TD Securities (USA) LLC and Wells Fargo Securities, LLC are the agents.

The notes will price on April 27.

The Cusip number is 89114QMD7.
