Morgan Stanley calls $10.29 million knock-out notes tied to S&P 500

Madison, Wis., Feb. 4 - Morgan Stanley gave notice that it will redeem its $10,288,000 of autocallable knock-out notes due May 20, 2011 linked to the S&P 500 index.

The notes (Cusip: 617482LL6) will be redeemed at 107.

The Bank of New York Mellon is the trustee.
