Tomkins amends issuer names in cash tender offer for 8%, 6 1/8% notes

Chicago, Sept. 27 - Tomkins Ltd. and Tomkins Finance Ltd. amended Pinafore, LLC's tender offer for the £150 million of 8% notes due 2011 issued by Tomkins plc and guaranteed by Tomkins Finance plc and the £250 million of 6 1/8% notes due 2015 issued by Tomkins Finance and guaranteed by Tomkins, according to a company press release.

Tomkins plc and Tomkins Finance plc were re-registered as private limited companies on Sept. 24 and are now known as Tomkins Ltd. and Tomkins Finance Ltd., respectively, the release noted.

The tender offer was amended to reflect the issuer change.

On Sept. 13, Pinafore said it was offering 105.787 for 8% notes tendered by the early deadline and 103.787 for 8% notes tendered after that time but before the offer expiration. The terms of the offer remain unchanged.

For the 6 1/8% notes, the company is offering 100.5 for notes tendered by the early deadline and par for notes tendered after that time but before the offer expiration.

The early deadline was 11 a.m. ET on Sept. 24, and the tender offer will expire at 11 a.m. ET on Oct. 1.

Holders will also receive accrued interest up to but excluding the settlement date, which will be Oct. 6.

Pinafore is a subsidiary of Pinafore Acquisitions Ltd., a newly formed entity created to acquire Tomkins at the direction of Onex Corp. and Canada Pension Plan Investment Board.

The company previously said the acquisition was not conditioned on any minimum number of notes being purchased in the tender offer but that the tender offer was conditioned on the acquisition becoming effective and the subsequent funding of certain third-party debt.
