Saint-Gobain to issue new notes to BNP, partially cancel four series

New York, Oct. 8 - Compagnie de Saint-Gobain announced that it is offering new notes in exchange for a portion of four series of its notes held by BNP Paribas.

The €750 million of new 4% senior fixed-rate notes due October 2018 will be issued under Saint-Gobain's €10 billion medium-term note program.

Affected securities to be exchanged and canceled include the following:

• €314,145,000 of 8.25% notes due July 28, 2014;

• €174,715,000 of 6% notes due May 20, 2013;

• €144,844,000 of 7.25% notes due Sept. 16, 2013; and

• €323.45 million of 4.25% notes due May 31, 2011.

Following the exchange and cancellation of the above amounts, €685,855,000 of the 8.25% notes, €575,285,000 of the 6% notes, €605,156,000 of the 7.25% notes and €776.55 million of the 4.25% notes will remain outstanding.
