NRG wraps change-of-control offers for four series of GenOn notes

Chicago, Feb. 12 - NRG Energy, Inc. completed the change-of-control offers for GenOn Energy, Inc.'s 7 5/8% senior notes due 2014, 7 7/8% senior notes due 2017, 9½% senior notes due 2018 and 9 7/8% senior notes due 2020.

Holders tendered $40,000 of the 7 5/8% notes, $323,000 of the 7 7/8% notes, $14,000 of the 9½% notes and $7,000 of the 9 7/8% notes, according to a company press release.

The offers expired at 11:59 p.m. ET on Feb. 8, with settlement following on Feb. 12. The offers began on Jan. 9.

NRG paid 101% of par plus accrued interest up to but excluding the purchase date.

As previously noted, GenOn became a wholly owned subsidiary of NRG on Dec. 14.

NRG Energy is a Princeton, N.J.-based wholesale power-generation company. GenOn is a Houston-based power producer.
