SumTotal Systems files $75 million shelf

New York, June 1 - SumTotal Systems, Inc. registered to sell up to $75 million of securities in an S-3 filing with the Securities and Exchange Commission.

Covered by the shelf are common stock, preferred stock, warrants and debt securities. Preferred stock and debt securities may be structured as convertibles.

Proceeds will go toward general corporate purposes and working capital requirements.

Based in Mountain View, Calif., SumTotal provides learning and business performance technologies and services.
