Sumitomo Mitsui to sell add-ons to notes due 2026, 2028, 2030, 2033

Los Angeles, Feb. 28 – Sumitomo Mitsui Financial Group, Inc. is offering additional 5.464% senior notes due 2026, 5.52% senior notes due 2028, 5.71% senior notes due 2030 and 5.766% senior notes due 2033, according to a 424B5 filing with the Securities and Exchange Commission.

The notes will be consolidated and form a single series with the respective $1.5 billion 5.464% senior notes due 2026, $1.5 billion 5.52% senior notes due 2028, $1 billion 5.71% senior notes due 2030 and $1.5 billion 5.766% senior notes due 2033 issued on Jan. 13.

SMBC Nikko is the bookrunner.

Bank of New York Mellon is the trustee.

Davis Polk & Wardwell LLP will act as U.S. counsel for the issuer, and Nagashima Ohno & Tsunematsu will be the issuer’s Japanese counsel. Simpson Thacher & Bartlett LLP will act as U.S. counsel to the underwriter.

Proceeds will be used to extend unsecured loans to SMBC, which in turn will use proceeds for general corporate purposes.

The bank holding company for SMBC is based in Tokyo.
