Study Group to start roadshow on Monday for £205 million secured notes

Portland, Ore., Sept. 6 - Study Group UK Ltd. plans to start a roadshow on Monday for a £205 million minimum offering of five-year senior secured notes, according to a market source.

Joint global coordinator Goldman Sachs International will bill and deliver. Barclays is also a joint global coordinator. Mizuho Securities and National Australia Bank are co-managers.

The Rule 144A and Regulation S notes come with two years of call protection.

Proceeds will be used to repay outstanding debt and partially repay preferred equity certificates.

The issuing entity will be EDU UK BondCo plc, a special-purpose vehicle of the Brighton, England-based provider of preparatory programs for higher education programs, career education programs and English language programs.
